For all Board of Directors positions: Directors shall attend meetings on a regular and punctual basis. A Director shall be deemed to have resigned after failure to attend two consecutive board meetings or a total of three board meetings within a three-year term of office following their induction as a Director at the Board meeting held at the Texas Chapter ISA Annual Conference. This does not include committee-only obligations/positions.

Executive Committee may act for the Board of Directors pursuant to the delegation of authority to such committee by the Board of directors. The Executive Committee shall be responsible for the day-to day operations of the Chapter, operating in accord with policy established by the Board of Directors. The Executive Committee positions, except Editor, require at least one (1) three-year term as a Board Director prior to moving into the “leadership track”. This track begins with nomination into the Vice President role, moving into President-Elect, President, and Immediate Past President. Each of the Executive Committee positions is a one-year term. The Executive Committee consists of the following six officers:

President shall be the directing head of the Chapter; shall call and preside over the Board of Directors and/or Executive Committee meetings (at least twice a year but scheduled monthly for one hour via webinar) and the annual Chapter meeting (held in-person at the Texas Tree Conference in Waco); and closely cooperate with the Executive Director and Editor to the best interest of the Chapter. The President shall also serve on the International Society of Arboriculture Chapter Presidents’ Committee. The President shall appoint all standing committee chairs upon taking office and may appoint committees to act during the President’s term of office or at the annual meeting.

President-Elect shall succeed to the presidency the following year or upon vacancy in that office. The President-Elect shall assist the President and Vice-President with their duties. The President-Elect will also fulfill the role of Conference Chair. In the absence of the President, the President-Elect shall perform the duties pertinent to that office.

Vice-President shall assist both President and President-Elect and plan for future annual meetings. In the absence of the President or President-Elect the Vice-President shall perform the duties pertinent to those offices. The Vice-President shall serve as Chair of the Education Committee.

Immediate Past President will serve as a mentor to the President and other officers and assist the officers and Board as needed. Immediate Past President will also serve as Chair to the Nominating and Awards sub-committees.

Treasurer shall have and perform all duties commonly incident to, and vested in, the office of Treasurer of a corporation, as well as all duties delegated and designated by the Board of Directors or the President, including, but not limited to: the administration of the fiscal and financial policies of the Texas Chapter; supervision and maintenance of accurate corporate financial records; the establishment and maintenance of financial accounts; the preparation of financial documentation requested by the Board; and, the fiscal management of Texas Chapter monies. The Treasurer shall serve as a voting member of the Executive Committee, and as Chair of the Finance Committee.

Editor serves as a nonvoting member of the Executive Committee, shall procure and edit article material for the Chapter bi-monthly printed newsletter (In the Shade) on the instruction of the President and/or the Board of Directors. The Editor shall aid in the budget analysis with respect to the cost of preparing and distributing the Chapter newsletter.

Non-Executive Committee Positions:

Board of Director shall serve a three-year term during which time, they act in the best interest of ISAT to support the mission and vision of the organization, not personal interests. Directors shall attend quarterly meetings in person (March, July, September, and November/December). Directors shall select a committee of their interest to serve on. This committee may change during their term but time spent in the selected committee should be no less than one year.

Liaison Positions:
Component Council Liaison will serve as the conduit between ISA and the Chapter for communication from ISA that will impact the Chapter. This person will attend ISA Component Council meetings (one at ISA International Conference and one throughout the year to be determined by ISA but typically held virtually). This person will attend Executive Committee meetings and quarterly Board meetings. This is a one-year term. -Certification Liaison will serve as the conduit between ISA and the Chapter for communication regarding changes to certification. This person will attend Certification Liaison meetings (quarterly and held virtually) and report updates at the quarterly Board meetings. This individual is responsible for assisting with certification exam set-up and will maintain ISA exam proctor ability during their three-year term. The individual serving in this role may not teach at Certified Arborist Prep Courses.

Committees

Committees greatly assist the mission and vision of ISAT and allow both Board of Directors and ISAT members to work on interest-specific goals. By serving on the Board of Directors, an individual will commit to serve on one of these committees. The time spent in a specific committee must be no less than one year.

Education Committee:
-Mission: Facilitate statewide professional development opportunities to meet the educational needs of Certified Arborists and tree care professionals.
-Meetings: Once a month for one hour, year-round, virtually.
-Responsibilities: assist association management in workshop calendar execution as needed; plan and execute in coordination with association management the annual Master’s Series Workshop.

Texas Tree Conference Committee:
-Mission: Coordinate all aspects of the annual statewide conference to meet the educational needs of tree care professionals.
-Meetings: Once a month for one hour January to September, virtually. There are subcommittees that may have additional meetings as needed.
-Responsibilities: All listed are in coordination with association management and TTC Chair as well as if there is a sub-committee chair
1. Track Chairs (municipal, commercial, utility, Spanish, and academy) – responsible for filling in speaker slots for each education track as well as keynote speakers
2. Tree School—responsible for coordinating and hosting/teaching the English and Spanish Tree Schools
3. Volunteer Subcommittee—recruiting volunteers to be responsible for assisting with Silent Auction (2 days), Bookstore (2 days), Arborist Social (1 evening), and set-up (1 day pre-conference)
4. Silent Auction Subcommittee—coordinate requesting of items for Silent Auction, promotion of the Auction, and on-site facilitation of Auction
5. Bookstore Subcommittee—coordinate the request of books from ISA, set-up, facilitation of Bookstore during Conference, and tear down
6. SWAG Subcommittee—work in coordination with TTC Chair to procure giveaway items for Conference
7. Trade Show Subcommittee—coordinate all aspects of the Trade Show floor and execute move-in and move-out with all vendors/exhibitors
8. Climber’s Corner Subcommittee—coordinate all aspects of the climbing section including but not limited to set-up, etc.

Texas Tree Climbing Championship Committee:
-Mission: Coordinate all aspects of the annual climbing competition to meet the educational needs of tree care professionals through the pre-climb workshop and requirements of ISA regulated climbing competition.
-Meetings: ~One time per month for one hour between December and April, virtually; may be more frequently March to May depending on subcommittee and may be in-person
-Responsibilities: All responsibilities are in coordination with the association management and Committee Chairs: set-up, event, and gear check volunteers, head judges, event judges, quartermaster

Publicity & Outreach:
-Mission: Support statewide Arbor Day observances, outreach to allied professional groups, coordinate annual day of service opportunity for members, serve as a conduit for all events to have publicity of tree care/arborism/ISAT, and promote ISAT at tabling events. –
-Meetings: occur as needed virtually.

Advocacy:
-Mission: Monitor legislation and report to the Board on any activity affecting tree care in Texas.
-Meetings: occur as needed virtually

Research & TREE Fund:
-Mission: Coordinate research per ISAT policy. Coordinate with Tree Fund for promotion of Tour de Trees annually. Facilitate and recruit volunteers for Heads and Tails game at Texas Tree Conference annually.
-Meetings: occur as needed virtually

Students & Scholarships:
-Mission: Coordinate annual scholarships at TAMU, SFA and other institutions. Attend awards banquets and assist students to attend events. Coordinate student attendance at the annual Tree Conference, encourage mentorship of students with tree care professionals, and host welcome event at Texas Tree Conference for students.
-Meetings: occur as needed virtually

Newsletter:
-Mission: Assist the Editor of the bi-monthly ISAT In the Shade Newsletter to create and source relevant articles and content. The Newsletter is published February, April, June, August, October, and December.
-Meetings: as needed virtually

Membership:
-Mission: Increase membership in the Texas Chapter through promotion of the organization and the tree care profession.
-Meetings: quarterly for an hour, virtually.

Credentialing:
-Mission: Act as Chapter representative to ISA Certification Board, set dates and locations of exams, assist in creation of CEUs for ISAT and affiliate organization events, answer member and public questions on ISA certification, liaison to ISA Certification Committee.
-Meetings: ISA Committee occurs quarterly for 1.5 hours virtually, ISAT meetings occur quarterly virtually for an hour

Social Media:
-Mission: Coordinate ISAT social media accounts (Facebook, Instagram, and LinkedIn). Ensure relevant and timely posting, two to three times per week. Coordinate with all of the other committees to ensure content from each is being posted as needed.
-Meetings: as needed virtually
